The duties of a commercial agent include, in particular, the development of new markets nationally and internationally as well as customer care. For many companies the agent is an irreplaceable intermediary for sales. The individual drafting of a commercial agent’s contract is therefore very important and must incorporate key provisions, e.g. regarding the territory, the extent of distribution, provisions for payment of commission, non-compete clauses, reporting and marketing obligations and compensation claims upon termination of the contract. In this context we also have to consider any general terms and conditions of business.
Commercial Lawyers have experience in the establishment of franchise systems and the supervision of franchisors and franchisees. In addition to drafting, commercial lawyers also represent clients in disputes with contractual partners or third parties both inside and outside of court.

Operating and Management Agreements
In certain industries, such as hotels and leisure, the concept of permitting a third party to operate your business on your behalf is well established. In other sectors, companies are increasingly recognising the advantages and value in terms of efficiency savings and enhanced levels of service in continuing to own ultimately and control their business but have a third party with greater experience and know-how to run that business for them on a day to day basis.
Under a typical Operating and Management arrangement the company will continue to own the business (and be liable for the performance of that business) but will, as in an outsourcing, look to a third party to provide an improved service at less cost.
Companies are therefore permitting a third party to operate their business on their behalf with the aim of utilising the operator's greater know-how and experience, and in some cases branding, to drive greater returns for the owner and a superior customer experience. For the operator, an Operating and Management Agreement enables it to increase its revenue, through management fees, but not usually require it to invest capital or assume the same level of risk as an owner of the business.

Research, Development and Collaboration Agreements
In the field of high technology, many private companies enter into research and development agreements with universities or other academic institutions. In these agreements, it is not just the economic framework that has a decisive role but also questions of distribution and marketing as well as the allocation of intellectual property and protection of the respective know-how. The specialist lawyers from our Commercial Agreements practice area, together with colleagues from other practice areas where necessary, have the expertise that is needed in the various industry sectors to effectively advise on the legal framework for co-operation in the context of research and development projects.
